1. Who we are and what these Terms cover

This website, simionadvisory.com (the "Site"), is operated by HASHGRAPH TECHNOLOGIES SRL, a company registered in Romania, trading as Simion Advisory Partners ("we", "us", "Simion Advisory"). These Terms of Use govern your access to and use of the Site and any free materials or interactions offered through it. By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Paid advisory engagements are governed exclusively by a separate written engagement agreement or scope of work signed between you and us, or by the terms of the platform through which the engagement is contracted. In case of any conflict between these Terms and a signed engagement agreement, the engagement agreement prevails for that engagement.

2. No professional advice, no client relationship

All content on this Site, including pages, articles, examples, frameworks, calculators, configurators, illustrative figures and statistics, is provided for general informational purposes only. Nothing on this Site constitutes financial, investment, legal, tax, accounting or valuation advice, and nothing on this Site is an offer, solicitation or recommendation to buy or sell any security, business or asset.

Using this Site, submitting a form, sending materials for a free review, or holding an introductory call does not create a client, advisory, or fiduciary relationship between you and us. Such a relationship is created only by a signed written engagement agreement.

You should not act or refrain from acting on the basis of any content on this Site without obtaining advice from qualified professionals who know your specific circumstances. Any decision you make based on Site content is your sole responsibility.

3. Free reviews, calls and other complimentary materials

From time to time we offer complimentary items, such as a free model review, a free deal review, or an introductory strategy call. These are provided as a courtesy, "as is", without any warranty, for your general orientation only. They are necessarily based on limited information, are not a substitute for a full engagement, and must not be relied upon for any transaction, investment, filing or other decision. We may decline, limit or discontinue any complimentary item at our discretion.

4. No guarantee of outcomes

Financial models, forecasts, valuations and similar analyses are inherently estimates. They depend on assumptions, on the accuracy and completeness of inputs, and on future events that cannot be predicted. Past results, statistics and figures displayed on this Site (including project counts, success indicators and value figures) are historical, are presented in good faith, and are not a promise or indication of any future outcome. We do not guarantee any result, valuation level, transaction closing, financing, savings or performance of any kind.

5. Your submissions

If you send us materials through the Site (for example, a financial model, board pack or company information), you confirm that you have the right to share them and that doing so does not breach any law or any obligation you owe to a third party. We will treat unsolicited submissions with reasonable care and use them only to respond to your request, in line with our Privacy Notice, but transmission over the internet is never fully secure and you submit materials at your own risk. Do not send information you are not entitled to share. A formal confidentiality undertaking applies only where signed as part of an engagement.

6. Permitted use of Site content

You may view, download and print Site content for your personal, internal and non-commercial use, provided you keep all copyright and attribution notices intact. You may not modify, republish, sell, scrape, data-mine, or use Site content to train machine-learning systems, and you may not reproduce or employ any software, proprietary process, framework or methodology described on this Site, except as expressly permitted in writing by us or by mandatory law.

7. Intellectual property

The Site and its content are protected by Romanian and international copyright and trademark laws. All rights are reserved by us and our licensors. "Simion Advisory Partners" and associated marks may not be used without our prior written permission. References to third-party names or trademarks do not imply endorsement in either direction.

8. Acceptable use, availability and termination

You agree not to misuse the Site, including by attempting unauthorized access, interfering with its operation, or submitting unlawful, infringing or malicious content. The Site is provided without any commitment to availability, continuity or error-free operation; we may modify, suspend or discontinue any part of it, and may suspend or terminate your access, at our discretion, at any time and without prior notice, including for violation of these Terms.

9. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Site and all content and complimentary items are provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors, viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by applicable law:

(a) we, HASHGRAPH TECHNOLOGIES SRL, our principal, and any persons acting on our behalf shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data or anticipated savings, arising out of or in connection with the use of, or inability to use, this Site or any content or complimentary item obtained through it, regardless of the legal theory and even if advised of the possibility of such damages;

(b) our total aggregate liability arising out of or in connection with the use of this Site and any complimentary items shall not exceed EUR 100;

(c) nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for willful misconduct or gross negligence under Romanian law, or mandatory statutory rights of consumers in their jurisdiction.

For the avoidance of doubt, liability connected to paid engagements is governed solely by the relevant engagement agreement, which contains its own limitations.

11. Indemnity

You agree to indemnify and hold us harmless from any claims, damages, liabilities and reasonable costs (including legal fees) brought by third parties arising from your breach of these Terms, your misuse of the Site, or materials you submitted in violation of Section 5, except to the extent caused by our own willful misconduct or gross negligence.

12. External links

The Site may link to third-party websites. We do not control and do not vouch for their security, accuracy or content, and a link does not constitute endorsement. Your use of third-party sites is at your own risk and subject to their terms.

13. Governing law and disputes

These Terms and any non-contractual obligations arising from the use of this Site are governed by the laws of Romania. Any dispute arising out of or in connection with these Terms or the use of this Site shall be subject to the exclusive jurisdiction of the competent courts of Bucharest, Romania. If you are a consumer in the European Union, you retain any mandatory protections and venue rights granted by the laws of your country of residence, and you may also use the EU Online Dispute Resolution platform.

14. Changes to these Terms

We may update these Terms at any time. The current version, with its "Last updated" date, will always be posted on this page, and changes apply from posting. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms. For material changes, we will make the update reasonably visible.

15. General

If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and adapted to reflect its intent as closely as possible, and the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Notice and the Cookie Policy, constitute the entire agreement between you and us regarding the use of the Site.
