1. What this document covers
This Scope of Work ("SoW") applies to financial modeling services purchased through the configurator on simionadvisory.com and paid via the checkout on this Site. It is accepted together with our Terms of Use at the moment of purchase and forms the entire agreement for the purchased engagement. The service is provided by HASHGRAPH TECHNOLOGIES SRL, trading as Simion Advisory Partners ("we", "us"). Where this SoW and the Terms of Use differ, this SoW prevails for the purchased engagement.
2. The deliverable, precisely defined
You are purchasing one financial model, delivered as a single Microsoft Excel workbook (one .xlsx file), containing:
- An integrated three-statement financial model (Income Statement, Balance Sheet, Cash Flow Statement)
- Input drivers and assumptions separated from calculations
- Scenario analysis capability as configured at purchase (e.g., Base, Best, Worst case)
- Documentation of key assumptions and methodology inside the workbook
- One remote working session of up to 60 minutes to walk through the model and answer questions
The deliverable is the file and the session described above. Nothing else is included. In particular, this engagement does not include:
- a valuation report or valuation opinion;
- fundraising, investment, legal, tax or accounting advice;
- investor introductions or capital raising services;
- verification, audit or review of the data you provide;
- ongoing updates, support or maintenance after the revision window in Section 6;
- any software, hosting or tool other than the Excel file itself; and
- any document intended for statutory filings, regulatory submissions, court proceedings or tax authorities.
3. Methodology
All models are built on the Wassily Leontief Input-Output framework: every operational driver (input) is mathematically linked to the three financial statements (outputs), so a change in any driver carries through the entire model. This provides consistency and traceability of the calculations. It does not, and cannot, make the model's projections a prediction of actual future results (see Section 5).
4. Professional status disclosure
We provide financial modeling as a consulting service. We are not a licensed audit firm, and the principal is not a certified public accountant, statutory auditor, authorized valuator (ANEVAR or equivalent), licensed investment adviser, broker-dealer, or member of a regulated valuation or accounting body in any jurisdiction. Nothing in this engagement constitutes audit, assurance, statutory valuation, investment advice, or any other regulated professional service. If your intended use requires a credentialed professional in your jurisdiction, you are responsible for engaging one, and we will say so plainly if you ask us.
5. Your data, our calculations, and the limits of both
The model is built on the data and assumptions you provide. We accept your inputs as given and do not verify, audit or independently confirm them. The quality of the model's outputs depends directly on the quality of your inputs.
The model is built with professional care and tested before delivery. However, financial models are inherently estimates: they rest on assumptions about future events that may not occur. We therefore do not warrant that any projection, scenario or output will reflect actual future results, and we do not guarantee any business outcome, fundraising result, valuation level or investment decision based on the model. You are responsible for reviewing the model and its outputs before using them for any decision.
If you identify a calculation or formula error in the delivered model, report it within 14 days of delivery and we will correct it at no cost. This correction remedy is your exclusive remedy for errors in the deliverable, subject to Section 10.
6. Revisions
The quoted price includes one round of revisions based on your consolidated feedback, requested within 14 days of initial delivery. A revision round covers adjustments within the configuration purchased; it does not cover changes of scope (additional entities, new business lines, different model architecture), which are quoted separately. Additional revision rounds beyond the included one are available at an agreed rate.
7. Your responsibilities
To deliver on time, we require from you:
- historical financial data (where applicable) in an agreed format;
- revenue and cost assumptions, or your availability for discovery sessions;
- responses to clarification requests within 3 business days; and
- access to a representative for the final walkthrough session.
You confirm that you have the right to share the data you provide and that doing so breaches no law or obligation to any third party. Delivery timelines pause while we wait for your inputs.
8. Timeline
Delivery timelines vary by complexity. Pre-seed and simple models are typically delivered within 5–7 business days after all inputs are received. Seed and Series A models may require 10–14 business days. Complex models with extensive historical data may take longer. A specific timeline is confirmed at project kickoff. Timelines are good-faith estimates, not guaranteed dates, and depend on Section 7.
9. Payment, withdrawal and refunds
Payment is due at checkout via Stripe. Work begins once payment is confirmed.
By completing the purchase you expressly request that we begin work immediately. If you are a consumer in the European Union, you acknowledge that the deliverable is produced to your specifications and that, once the service has been fully performed (the model delivered), you lose the statutory right of withdrawal. If you cancel in writing before we begin work, you receive a full refund. If you cancel after work has begun but before delivery, we may retain a proportion of the fee corresponding to the work performed. After delivery, fees are non-refundable; the revision round and the error-correction remedy in Sections 5 and 6 apply instead.
10. Limitation of liability
To the maximum extent permitted by applicable law:
(a) our total aggregate liability arising out of or in connection with this engagement is limited to the fees you actually paid for it;
(b) we are not liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill or data, regardless of legal theory;
(c) any claim arising from this engagement must be brought within 12 months of delivery; and
(d) nothing in this SoW excludes or limits liability that cannot be excluded under applicable law, including liability for willful misconduct or gross negligence under Romanian law, or mandatory consumer rights in your jurisdiction.
11. No third-party reliance
The deliverable is prepared for you alone and for your internal purposes. It may not be presented to, or relied upon by, any third party, including investors, lenders, buyers, courts or authorities, as a representation, opinion or assurance from us, without our prior written consent. If you share the model with third parties, you do so on your own responsibility, and you will inform them that we accept no duty of care toward them.
12. Intellectual property
Upon full payment, you receive a perpetual, non-exclusive license to use, modify and internally share the delivered model for your business purposes. We retain all rights in our underlying methodology, frameworks, structures and templates, and remain free to use them in other engagements. Neither party acquires rights in the other's pre-existing materials beyond what this Section grants.
13. Confidentiality
We treat the data and materials you provide as confidential, use them only to perform this engagement, and handle them in line with our Privacy Notice. This obligation does not apply to information that is public, independently known, or required to be disclosed by law.
14. Governing law and disputes
This SoW is governed by the laws of Romania. Disputes are subject to the exclusive jurisdiction of the competent courts of Bucharest, Romania. If you are a consumer in the European Union, you retain any mandatory protections and venue rights of your country of residence.
